01 Acceptance of Terms

By accessing or using NexGen Study ("the Service"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Corverxis Technologies Ltd ("Corverxis", "we", "us", "our").

If you do not agree to these Terms, you must not use the Service. By creating an account, you confirm that you have read, understood and agree to these Terms and our Privacy Policy.

02 About NexGen Study

NexGen Study is an AI-powered academic companion platform providing tools for study note generation, essay writing, lecture summarisation, research assistance, presentation creation, flashcard generation, citation formatting, STEM education, nursing and medicine study support, and document analysis (NexGen Notebook).

The Service is powered by NexGen Ultra, Corverxis Technologies' AI engine, which uses large language model technology provided by Anthropic PBC. All AI outputs are automatically generated and should be treated as a starting point for learning and academic work, not as authoritative fact.

03 Eligibility

To use NexGen Study you must:

• Be at least 16 years of age (or the age of digital consent in your jurisdiction, whichever is higher)
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under the laws of your jurisdiction

If you are under 18, you represent that you have obtained parental or guardian consent to use the Service. We reserve the right to require proof of age or parental consent at any time.

04 Account Registration and Security

4.1 Registration

You must create an account to use most features of NexGen Study. You agree to provide accurate, current and complete information and to update it as necessary.

4.2 Account Security

• You are responsible for maintaining the confidentiality of your password and account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately at support@corverxis.com if you suspect unauthorised access to your account
• You may not share your account with others or create accounts on behalf of others without authorisation

4.3 One Account Per Person

You may only maintain one active account. We reserve the right to merge or terminate duplicate accounts.

05 Subscription Plans and Billing

5.1 Plans

5.2 Billing

• Subscriptions are billed monthly in advance via Stripe Inc.
• Your subscription renews automatically on the same date each month
• Prices are in US Dollars (USD) and exclude applicable taxes
• We reserve the right to change pricing with 30 days' notice to existing subscribers

5.3 Cancellation

• You may cancel your subscription at any time through your account settings or via the Stripe billing portal
• Cancellation takes effect at the end of the current billing period
• You retain access to paid features until the end of the paid period

5.4 Refunds

We offer refunds at our discretion. If you experience a technical issue that prevents you from using the Service, contact support@corverxis.com within 7 days of the charge. We do not offer refunds for partial months or for choosing not to use the Service.

5.5 Failed Payments

If a payment fails, your account will be downgraded to the Trial plan. We will attempt to notify you by email. You can update your payment method through the Stripe billing portal.

07 Permitted Use

NexGen Study is licensed to you for the following permitted uses:

• Personal academic study: Generating study notes, essays, flashcards and research materials for your own learning
• Assignment assistance: Using AI-generated content as a scaffold, starting point or learning aid for your own academic work
• Research support: Summarising literature, mapping arguments, generating thesis options
• Professional development: Continuing education, CPD and upskilling in nursing, medicine and STEM fields
• Personal use only: Your subscription is for your personal use only and may not be shared

08 Academic Integrity

8.1 Your Responsibility

NexGen Study is designed as a learning aid and academic scaffold, not as a means to submit work that is not your own. By using the Service, you acknowledge that:

• Submitting AI-generated content as entirely your own work, without appropriate attribution or acknowledgement, may violate your institution's academic integrity policy
• Policies on AI use vary significantly between institutions — some permit it, some restrict it, some prohibit it entirely
• It is your responsibility to check and comply with your institution's current AI use policy
• Corverxis Technologies Ltd accepts no responsibility for any academic disciplinary consequences arising from your use of NexGen Study

8.2 Recommended Practice

• Use NexGen Study to understand topics, not to replace understanding
• Treat AI outputs as a first draft, not a final submission
• Always verify facts, citations and medical/clinical information before relying on them
• Where permitted, acknowledge the use of AI assistance in your submitted work

8.3 Clinical and Medical Content

The Nursing & Medicine tool generates educational content for study purposes only. It does not constitute medical or clinical advice. You must not use NexGen Study outputs to make clinical decisions about real patients. Always consult qualified clinical supervisors and use approved clinical guidelines.

09 Prohibited Uses

You must not use NexGen Study to:

• Submit work as your own in a manner that violates applicable academic integrity policies
• Generate content on behalf of others for academic submission (contract cheating)
• Generate harmful, illegal, defamatory, abusive, threatening or obscene content
• Generate content that infringes the intellectual property rights of any third party
• Generate misleading health or medical information intended for clinical use
• Attempt to reverse-engineer, scrape, or extract the underlying AI models or system prompts
• Use automated scripts, bots or crawlers to access the Service
• Circumvent rate limits, usage restrictions or authentication mechanisms
• Resell, sublicense or distribute access to the Service
• Use the Service in any way that violates applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these prohibitions without notice or refund.

10 Intellectual Property

10.1 Our Intellectual Property

All elements of NexGen Study, including but not limited to software, system prompts, user interface design, branding (including the Corverxis hexagon logo and NexGen trademarks), documentation and marketing materials are the exclusive property of Corverxis Technologies Ltd and are protected by copyright, trademark and other intellectual property laws.

10.2 Your Ownership of Outputs

Subject to these Terms, you own the AI-generated outputs produced by NexGen Study for your personal use. However:

• We grant no warranty that outputs are original or do not resemble content generated for other users
• AI-generated outputs are not independently copyrightable in most jurisdictions
• You are responsible for any claims arising from your use of outputs

10.3 Feedback

If you provide feedback, suggestions or ideas about NexGen Study, you grant us a perpetual, royalty-free licence to use that feedback without obligation to you.

11 Your Content

Content you submit to NexGen Study (prompts, documents, text) remains yours. By submitting content, you grant us a limited, non-exclusive licence to process it solely for the purpose of providing the Service to you.

We do not store the content of your prompts or outputs beyond your session unless you explicitly save them. See our Privacy Policy for full details.

You represent and warrant that you have the right to submit any content you provide, and that doing so does not violate the rights of any third party or any applicable law.

12 AI-Generated Content — Disclaimers

• Not professional advice: NexGen Study outputs are not legal, medical, financial or other professional advice. Consult qualified professionals for such matters.
• Not clinical guidance: Nursing & Medicine tool outputs are educational only. They must not be used to guide clinical decisions about real patients.
• Citations may be fabricated: AI models can generate plausible-looking but non-existent citations. Always verify references independently.
• No guarantee of accuracy: We make no warranty that AI outputs are accurate, complete, fit for any particular purpose, or free from errors.
• Explainable AI: The XAI (Explainable AI) section in each output provides guidance on what to verify — but it does not guarantee accuracy.

13 Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

14 Third-Party Services

NexGen Study integrates with third-party services including Stripe (payments), Anthropic (AI processing), Google/Microsoft (optional OAuth sign-in) and Render (hosting). Your use of these services is also subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

15 Availability and Changes to the Service

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may:

• Perform scheduled or emergency maintenance (we will provide advance notice where practicable)
• Modify, suspend or discontinue features or the entire Service with reasonable notice
• Change pricing with 30 days' notice to existing subscribers
• Update these Terms (see Section 20)

We will not be liable for any interruption to the Service that is beyond our reasonable control.

16 Disclaimers and Limitation of Liability

16.1 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

16.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CORVERXIS TECHNOLOGIES LTD SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential or punitive damages
• Loss of profits, data, goodwill or academic standing
• Damages arising from your reliance on AI-generated content
• Damages arising from academic integrity violations
• Any damages exceeding the amount paid by you to us in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the minimum extent permitted by applicable law.

17 Indemnification

You agree to indemnify, defend and hold harmless Corverxis Technologies Ltd, its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your violation of any third party's rights
• Your violation of any applicable law or regulation
• Any academic integrity violation arising from your use of NexGen Study
• Any content you submit to the Service

18 Termination

18.1 By You

You may close your account at any time through Account → Settings → Delete Account. Cancelling a paid subscription does not automatically delete your account.

18.2 By Us

We may suspend or terminate your account immediately, without prior notice or liability, for:

• Violation of these Terms
• Fraudulent, abusive or illegal activity
• Non-payment of subscription fees
• At our discretion for any reason, with 14 days' notice where practicable

18.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections 10, 11, 16, 17 and 19 survive termination.

19 Governing Law and Dispute Resolution

19.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

19.2 Dispute Resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at support@corverxis.com. We will make good-faith efforts to resolve disputes within 30 days.

19.3 Jurisdiction

Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the courts of the State of Delaware. You consent to personal jurisdiction in Delaware.

19.4 EU/UK Consumer Rights

Nothing in these Terms limits your statutory rights as a consumer under EU or UK law, including rights under the Consumer Rights Act 2015 (UK) or EU Consumer Contracts Directive.

20 Changes to These Terms

We may update these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this document
• Send an email notification to registered users at least 14 days before the changes take effect
• Display a prominent notice on the Service

Continued use of NexGen Study after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.
